  5.                           APT DESIGN SOFTWARE LICENCE

  13.      AN express condition of this licence is that ApT-Design retains  title
  14.      and ownership of the SOFTWARE recorded on the original disk  copy(ies)
  15.      and all subsequent copies of the SOFTWARE, regardless of  the form or
  16.      media in or on which the original and any other copies  may exist.
  17.      This licence is not a sale of the original SOFTWARE or any copy.

  21.      COPY RESTRICTIONS. This SOFTWARE and any accompanying written
  22.      materials are the subject of copyright. Unauthorized copying of the
  23.      SOFTWARE, including SOFTWARE which has been modified, merged, or
  24.      included with any other software, or of the written materials is
  25.      expressly forbidden. You may be held legally responsible for any
  26.      copyright infringement which is caused or encouraged by your failure
  27.      to abide by the terms of this Licence.

  29.      Subject to the restrictions above, and if the SOFTWARE is not copy-
  30.      protected, you may take one (1) copy of the SOFTWARE solely for backup
  31.      purposes. You must reproduce and include the copyright notice on the
  32.      backup copy.

  36.      USE RESTRICTIONS. You may physically transfer the SOFTWARE from one
  37.      computer to another provided that the SOFTWARE is used only on one
  38.      computer at a time. You may not modify, adapt, translate,
  39.      reverse engineer, decompile, disassemble, or create derivative works
  40.      based on the written materials without the prior
  41.      written consent of ApT-Design.

  45.      TERMINATION. This Licence is effective until terminated. This License
  46.      will terminate automatically without notice from ApT-Design if you
  47.      fail to comply with any provision of this Licence. Upon termination
  48.      you shall destroy the written materials and all copies of the
  49.      SOFTWARE, including modified copies, if any.

  53.      UPDATE POLICY. ApT-Design may create, from time to time, updated
  54.      versions of the SOFTWARE. At its option, ApT-Design will make such
  55.      updates available to REGISTERED LICENSEE`s and transferees who have
  56.      paid the update fee and returned the Registration Form to ApT-Design.

  60.      MISCELLANEOUS. This Licence shall be governed and construed in
  61.      accordance with the laws of England and shall benefit ApT-Design, its
  62.      successors and assigns.

  68.                    LIMITED WARRANTY AND DISCLAIMER OF WARRANTY

  71.         THE SOFTWARE AND ACCOMPANYING WRITTEN MATERIALS (INCLUDING ANY
  72.      INSTRUCTIONS FOR USE) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY
  73.      KIND. FURTHER, APT-DESIGN DOES NOT WARRANT, GUARANTEE OR MAKE ANY
  74.      REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF USE, OF THE
  75.      SOFTWARE OR WRITTEN MATERIALS IN TERMS OF CORRECTNESS, ACCURACY,
  76.      RELIABILITY, CURRENTNESS, OR OTHERWISE. THE ENTIRE RISK AS TO THE
  77.      RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. IF THE
  78.      SOFTWARE OR WRITTEN MATERIALS ARE DEFECTIVE YOU, AND NOT APT-DESIGN OR
  79.      ITS DEALERS, DISTRIBUTORS, OR AGENTS, ASSUME THE ENTIRE COST OF ALL
  80.      NECESSARY SERVICING, REPAIR OR CORRECTION.

  82.         THE ABOVE IS THE ONLY WARRANTY OF ANY KIND, EITHER EXPRESS OR
  83.      IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF
  84.      MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, BY APT-DESIGN ON
  85.      THIS APT-DESIGN PRODUCT. NO ORAL OR WRITTEN INFORMATION OR ADVICE
  86.      GIVEN BY APT-DESIGN, ITS DEALERS, DISTRIBUTORS OR AGENTS SHALL CREATE
  87.      A WARRANTY AND YOU MAY NOT RELY ON ANY SUCH INFORMATION OR ADVICE.
  88.      THIS WARRANTY SHALL ONLY BE EFFECTIVE IF THE REGISTRATION FORM IS

  92.      ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES (INCLUDING
  93.      LOSS OF DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION,
  94.      LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR
  95.      INABILITY TO USE SUCH PRODUCT EVEN IF APT-DESIGN HAS BEEN ADVISED OF

  98.      IT IS EXPRESSLY FORBIDDEN TO RE-SELL ANY VERSION(S) OF APT-BBS
  99.      WITHOUT THE WRITTEN CONSENT OF APT-DESIGN. IN DOING SO, WITHOUT THE
  100.      PERMISSION OF APT-DESIGN, APT-DESIGN RESERVE THE RIGHT TO REFUSE
  101.      SUPPORT TO PERSON OR PERSONS WHO MAY HAVE PURCHASED VERSIONS THROUGH
